1. Purpose of Use

This Affiliate Agreement and Terms & Conditions are between Geneus Genetics Co., Ltd., located at 1 Park Silom Building, 15th Floor, Convent Road, Silom, Bangrak, Bangkok (hereinafter referred to as "the Company") and the online sales affiliate (hereinafter referred to as "Affiliate"). These Terms & Conditions apply to any services used by the Affiliate with the Company, whether in whole or in part. The Company considers that the Affiliate has agreed to these Terms & Conditions.

2. Definitions

• Affiliate: An individual or entity who agrees to advertise the Company's products or services and generate orders through online channels such as websites or social media (e.g., Facebook, Instagram, TikTok, YouTube, Twitter, Line, or Blog). The Affiliate will receive compensation in the form of coins, which can be exchanged for prizes specified by the Company.
• Affiliate Platform: The website www.geneusdna.com that helps increase income for online sales agents approved by Geneus Genetics Co., Ltd.
• Promotional Materials: The Affiliate's promotional materials include links, images, videos, banners, and product details used to promote products online.
• Commission: Compensation the Affiliate receives for promoting and generating sales, calculated as a percentage of the total sales made through their promotions.

3. Updates to Terms & Conditions

Any updates or changes to this agreement will be considered as acknowledged by the Affiliate without prior notification. If the Affiliate does not accept the new terms, their account will be terminated, ending the agreement with the Company.

4. Services & Agreement

• The agreement begins when an individual registers as an online sales agent by submitting information and confirming their application. The Company will consider that the Affiliate agrees to all Terms & Conditions upon submission.
• The Affiliate must provide accurate and true information. If the Company discovers any false information or fraudulent activity, the Affiliate's account will be suspended immediately.
• The Company sets the product prices, and the Affiliate cannot sell products below or above these prices. The Company reserves the right to change prices or terms without prior notice.
• The Company will only ship products when payment has been completed via the payment methods specified on www.geneusdna.com.

5. Affiliate's Responsibilities

The Affiliate is responsible for promoting the products and ensuring that customers provide complete order details, including:

• Type and quantity of products ordered
• Customer's full name, shipping address, invoice details, and phone number
• Payment amount and transaction details (e.g., date and time of payment)

6. Prohibited Actions for Affiliates

• Affiliates must not post links on gambling, obscene, or illegal websites.
• Affiliates must not spam links on online media.
• Affiliates must not advertise products with false claims or exaggerated descriptions that could harm the brand. Violation may lead to account suspension and forfeiture of commissions.

7. Coin Exchange & Commission

• The Company will calculate coin exchange rates and commissions based on completed orders, where payment has been made and the product has been delivered. The Company reserves the right to cancel coins or commissions if an order is later canceled or rejected by the recipient.
• Commissions are paid in Thai Baht (1 coin = 1 Baht) and will be converted to local currency once paid.
• The Company will pay commissions to the Affiliate's bank account after receiving complete documentation, within 5 working days (T+5), or on the 25th of each month, based on the accumulated sales and commissions of that period.
• If the Affiliate has fewer than 500 coins at the cutoff date, the commissions will be carried over to the next period.
• The Affiliate agrees to allow the Company to withhold taxes as required by law on the compensation payments, with the Company providing a tax withholding certificate within a reasonable timeframe.
